NLMK Board of Directors meeting results
NLMK, the leading global steelmaking company, today announced that the Board of Directors (“the Board”) has set a date for an Extraordinary General Meeting of NLMK’s Shareholders (“EGM”) for October 25, 2012. The meeting will be held in the form of absentee voting. The deadline for the receipt of voting ballots was fixed at October 25, 2012.
The Board adopted the following agenda for the EGM:
Early resignation of NLMK President and Chairman of the Management Board Alexey Lapshin.
Election of a new President and Chairman of the Management Board.
According to the Russian legislation, shareholders who own more than 2 per cent of the Company’s ordinary shares have the right to put forward a candidate for the position of NLMK President and Chairman of the Management Board until September 25, 2012.
The list of persons entitled to participate in the EGM will be prepared on the basis of the NLMK Shareholder Register as of 00:00, August 14, 2012 (or 24:00, August 13, 2012). Suggestions on candidates for the position of NLMK President and Chairman of the Management Board, as well as completed ballot papers, should be sent to the following address: NLMK, Shareholder's Equity Department, 2, pl. Metallurgov, Lipetsk, 398040 Russia.
Information submitted in the course of the EGM’s preparation will be available as of September 27, 2012 (8am to 3pm on business days) at NLMK’s Head Office: 2, pl. Metallurgov, Lipetsk, rooms 531, 603 (tel.: +7 (4742) 444-463, +7 (4742) 444-989).

Alexey Lapshin is going to celebratehis 65th birthday in August this year. He has been President and Chairman of the Management Board at NLMK since June 2006. He is also a member of the Strategic Planning Committee and the Human Resources, Remuneration and Social Policies Committee.
Mr. Lapshin was General Director of DanSteel A/S from 2006 and a management and technical consultant with DanSteel A/S prior to that. He was Head of Department at Rumelco from 1999 to 2002, while also serving on the Board of NLMK. From 1994 to 1999, Mr. Lapshin held positions in various companies, and acted as a consultant in the development of the Stinol refrigerator manufacturing plant in Lipetsk. He started his career in 1967 at Gaiskiy mining company, later working at Yuzhuralnickel non-ferrous metals production facility between 1975 and 1994, starting as a foreman and rising to become Deputy CEO.
