KOKS Group Elects New Board of Directors

Christoph Schaerer Appointed as Independent Chairman Kemerovo, Russian Federation - Open Joint Stock Company “KOKS” (“KOKS Group” or the “Company”) announced a newly elected Board of Directors following an extraordinary general shareholder meeting. The new Board consists of seven members including three independent Directors: • Christoph Schaerer — Independent member of the Board of Directors, Chairman of the Board of Directors. Christoph Schaerer is currently Executive Vice Chairman of Rothschild Bank AG, Zurich. Prior to joining Rothschild Bank in 2007, he held various positions at Credit Suisse Group in Zurich, Los Angeles, Tokyo and London. From 2000-2006, he was a Member of the Executive Board of Bank Hofmann AG, Zurich, and served as Chairman of Hofmann Investment Management (UK) Ltd. Prior positions at Credit Suisse include Managing Director of Credit Suisse First Boston in charge of Regional Oversight in Europe, Middle East and Africa (1997), and of Regional Head of Northern Europe and Branch Manager of Credit Suisse London (1996). Mr Schaerer graduated from the University of Bern with a Masters degree in Economics and Social Sciences. He was born in 1951 in Basel, Switzerland. • Evgeny Zubitsky (re-elected) — Member of the Board of Directors since 2000. Mr Zubitskiy has been CEO of LLC Managing Company Industrial Metallurgical Holding since 2003. From 2001 to 2007, he was Chairman of the Board of Directors of OJSC Tulachermet. From 1999 to 2000, Mr Zubitskiy was the deputy general director and subsequently, the general director of OJSC Tulachermet. From 1998 to 1999, He held the position of deputy general director of CJSC RK-Metall. Mr Zubitskiy started his career at the Kemerovo coking plant as a gasman in 1989 upon completion of his military service. Mr Zubitskiy graduated from the Moscow State University of Trade and Commerce in 1989. He was born in 1968 in Kemerovo, Russia. • Andrey Zubitsky — Member of the Board of Directors. Mr Zubitskiy has been the First Deputy of CEO of LLC Managing Company Industrial Metallurgical Holding since 2003. Since 2007 he has also been the Chairman of the Slovenian Steel Group. From 2001 to 2008 Mr. Zubitskiy was the Chairman of the board of directors in Alpicom. He graduated from Kuzbass Polytechnical Institute in 1998 and has since gained a PhD in Economics. Mr Zubitskiy was born in 1975. • Alexander Schendrigin — Member of the Board of Directors. Mr Schendrigin has been Deputy CEO of LLC Managing Company Industrial Metallurgical Holding since 2009. Prior to this he held positions including Managing Director of JSC Tulachermet and First Deputy General Director of JSC “Kuzbass Coal.” Mr Schendrigin graduated from Kuzbass Polytechnical Institute where he gained a PhD degree in Technical Sciences. Mr Schendrigin was born in 1961 in Novo-Troitsk of Altai region, Russia • Vladimir Zhukov — Member of the Board of Directors. Mr Zhukov has been Deputy CEO for finance and law at LLC Managing Company Industrial Metallurgical Holding since 2009. Prior to that he was Deputy CEO for corporate, legal, and investment policies between 2004 and 2009. Mr Zhukov joined JSC “Koks” (Kemerovo) in 1996 as a legal counsel and held a series of roles in the company including Legal Deputy General Director. Mr Zhukov graduated summa cum laude from the State University of Kemerovo in 1996, with a degree in law. Mr Zhukov was born in 1970 in Anzhero-Sudzhensk, Kemerovo region. • Aleksandr Timofeev (re-elected) — Member of the Board of Directors since 2008 (Independent). Mr Timofeev is a partner and general director of Liniya Prava law firm and has responsibility for securities issuance and placement counselling. Before joining Liniya Prava, Mr Timofeev worked as legal consultant at Prisco Corp and OJSC Severnoe More. He advised OJSC Gazprom on corporate governance and represented the company at the Federal Commission for Securities Market of Russia in assisting the preparation of the federal corporate governance code. Mr Timofeev graduated from the Plekhanov Russian Academy of Economics majoring in financial management, the faculty of law at Perm State University and Eurocentress Lee Green School of Linguistics, London, UK. • Richard Frederic Witt – Member of the Board of Directors (Independent) Mr Witt has been the Corporate Director - Russia for Cameron since 2009. In 2004 he was appointed Senior Vice President, Russia for Anglo American plc. Before joining BHP (now BHP Billiton) as Head of Representation in Russia in 1995 Mr Witt held CIS management roles with Halliburton and Sulzer. In 1991, he arrived in Moscow to establish Baker Hughes in the Soviet, and soon post-USSR market as Director for Business Development. Mr Witt began his career with Baker Hughes in 1978 and progressed through sales engineering, business development and management assignments in West Africa, the United Arab Emirates and Southeast Asia. He graduated with High Honors from the University of Texas at Austin in 1977. Mr Witt was born in 1952 in Lima, Peru. At the first meeting of the New Board Christoph Schaerer was elected as Chairman of the Board. In addition, Audit and Nomination and Remuneration Committees were formed. The Audit Committee comprises Independent directors Christoph Schaerer, Richard Frederic Witt and Aleksandr Timofeev. Christoph Schaerer was elected as a Chairman of the Audit Committee. Richard Frederic Witt, Evgeny Zubitsky and Aleksandr Timofeev were elected to the Nomination and Remuneration Committee. Richard Frederic Witt was appointed as Chairman.
